Terms of Service

1. Acceptance of Terms

By accessing or using Convexly ("the Service"), operated by Convexly ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

2. Description of Service

Convexly is a decision analytics platform that helps users log strategic decisions with probability estimates, track outcomes, and receive scientific feedback on forecasting accuracy and judgment quality. The Service includes web-based tools for decision tracking, calibration analysis, Monte Carlo simulation, and AI-assisted coaching.

3. Accounts and Registration

To use Convexly, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement.

4. Subscription Plans and Billing

Convexly offers a free tier and paid subscription plans (Pro, Team, Enterprise). Paid subscriptions are billed in advance on a monthly or annual basis through Stripe, our payment processor.

Free tier: Up to 100 decisions with core analytics features. No credit card required.

Cancellation: You may cancel your subscription at any time through the Stripe Customer Portal (accessible from Settings). Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price changes: We may change subscription prices with 30 days' notice. Price changes apply at the next billing cycle after the notice period.

5. Your Data

You retain ownership of all data you enter into Convexly, including decision records, probability estimates, outcome notes, and team data. We do not claim any intellectual property rights over your content.

You may export your data at any time via the Export page. If you delete your account, we will delete your data within 30 days, except where retention is required by law.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to other users' accounts or data
• Interfere with or disrupt the Service infrastructure
• Use automated tools (bots, scrapers) to access the Service without permission
• Reverse-engineer, decompile, or otherwise attempt to derive the source code
• Resell or redistribute the Service without authorization

7. AI-Powered Features

Convexly uses AI (including OpenAI models) for decision structuring, coaching nudges, and behavioral insights. AI-generated content is provided as analytical assistance and should not be interpreted as financial, legal, medical, or professional advice. You are solely responsible for your decisions and their outcomes.

8. Disclaimers

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Convexly is a decision-tracking and analytics tool. It does not provide financial advice, investment recommendations, or professional consulting services. Calibration scores, Brier scores, and other metrics are statistical measures of forecasting accuracy — they do not guarantee future decision quality.

9. Limitation of Liability

To the maximum extent permitted by law, Convexly and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. You may request data export before termination.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
