1. Acceptance of Terms

By accessing or using Convexly ("the Service"), operated by Convexly LLC, a Wyoming limited liability company ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

2. Description of Service

Convexly is a prediction-market wallet and market-quality scoring platform. The Service includes public wallet analysis, Edge Score research surfaces, watchlists and alerts, Coherent Markets Engine signals, Market Trust Cards, wallet verification reports, institutional APIs, reproducible research artifacts, and optional trade journal or pre-mortem tools.

3. Accounts and Registration

Some public Convexly tools, including the public wallet analyzer and public research pages, may be used without creating an account. Account creation is required for saved watchlists, digests, alerts, paid Researcher features, enterprise pilot access, institutional API access, billing, and any feature that syncs or stores user-specific data.

If you create an account, you must use a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

Accounts are personal to one named individual. You may not share your account credentials or API keys with any other person, use your account to provide the Service to others, or permit any person other than the account holder to access the Service through your account. We may treat use of a single account by more than one person as a breach of these Terms.

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement.

4. Subscription Plans and Billing

Convexly offers a free tier, paid Researcher and Trader subscriptions, and sales-led Design Partner and Custom Enterprise engagements. Paid subscriptions are billed in advance on a monthly or annual basis through Stripe, our payment processor.

Self-serve plans are licensed for individual use. The Free, Researcher and Trader plans are licensed to one named individual for that individual's own internal use. They do not include access for a team, firm, or organization, and they do not grant any right to display, embed, republish, or otherwise make Convexly outputs available to third parties, including your own clients, investors, or users. Access for multiple people, and any display of Convexly outputs inside your own product or in client-facing materials, are available only under a separate written agreement. Free tier: public Polymarket wallet analyzer, public Market Trust snapshots, research receipts, and a single-wallet email watch. No credit card required.

Cancellation: You may cancel your subscription at any time through the Stripe Customer Portal (accessible from Settings). Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Price changes: We may change subscription prices with 30 days' notice. Price changes apply at the next billing cycle after the notice period.

5. Your Data

You retain ownership of data you enter into Convexly, including saved wallet lists, imported venue files, alerts, API configuration, optional journal notes, probability estimates, outcome notes, and team data. We do not claim intellectual property rights over your content.

You may export your data at any time via the Export page. If you delete your account, we will delete your data within 30 days, except where retention is required by law.

6. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Attempt to gain unauthorized access to other users' accounts or data
Interfere with or disrupt the Service infrastructure
Use automated tools (bots, scrapers) to access the Service without permission
Reverse-engineer, decompile, or otherwise attempt to derive the source code
Share your account credentials or API keys, or give any other person access to the Service through your account
Resell, redistribute, embed, or publicly display the Service or its outputs without a separate written license

7. Automated Features

Convexly may use AI, including OpenAI models, for optional text structuring, summarization, and behavioral-analysis assistance. AI-generated content is provided as analytical assistance and should not be interpreted as financial, legal, medical, tax, or professional advice. You are solely responsible for your decisions and their outcomes.

8. Disclaimers

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Convexly is an analytics and research tool. It does not provide financial advice, investment recommendations, trade execution, settlement guarantees, market-resolution guarantees, or professional consulting services. Wallet scores, Brier scores, Market Trust Cards, coherence signals, and related metrics are statistical and research artifacts. They do not guarantee future wallet performance, market liquidity, settlement correctness, or profitable trading outcomes.

Convexly does not operate a prediction market, broker-dealer, exchange, futures commission merchant, investment adviser, or trade-execution venue. You are responsible for complying with all laws, regulations, venue terms, eligibility requirements, and jurisdictional restrictions that apply to your use of any third-party prediction-market or crypto platform.

9. Limitation of Liability

To the maximum extent permitted by law, Convexly and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. You may request data export before termination.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

12. Referral Rewards

Referral rewards are earned access, not a purchase and not a promotional billing offer. When a person you refer creates an account with a working email address, you earn 7 days of Researcher-tier access. Earned days stack up to a maximum of 28 banked days. One reward is earned per referred person, ever.

Referral rewards never change billing. If you are on a paid plan, earned days are banked and apply only while your account is on the Free plan; they are never converted to credits, refunds, or invoice changes.

Self-referrals, automated or bulk account creation, disposable or relay email addresses, and any scheme designed to manufacture referred signups earn nothing. We may revoke days obtained through abuse; each revocation is recorded with its reason. We may modify or end the referral program at any time; days already applied are not withdrawn when the program changes.
